The Answers You Need

                                  Notary Certificates

If there is no notarial wording on your document, you MUST choose which form to use.  Notaries cannot advise you on form choice.  If you do not know what type of notarial certificate your document requires, please contact the author of the document, or the document recipient, and have them advise you regarding what type of form you should use. For your convenience, described and linked below are some of the more commonly used certificates and general form templates for editing and printing. 

 

Acknowledgement:

This is the most frequent type of notarization. Acknowledging a document means that the properly identified signer personally appeared before the notary on the date and in the county indicated, that the signer either signs in front of the notary or acknowledges that s/he did indeed sign the document as well as acknowledging that the document was signed without coercion and that the signer is aware of the document's contents.

Typical Verbiage: "The forgoing instrument was acknowledged before me this _____ day of _____, 20 __ by ______________(name of person seeking 

                                 acknowledgement)."

Jurat/Affidavit:

The signer must personally appear before the notary and either swears (to God or Higher Power) or affirms (on personal honor) to the truthfulness of the document and its contents, and sign the document in the presence of the notary.

Typical Verbiage: "The foregoing instrument was subscribed and sworn before me this ____ day of ______, 20__ by _________

                               (name of person seeking jurat)."

Copy Certifications:

Virginia notaries have the authority to certify that a copy of an original document is a complete and true reproduction of the original document. The notary's authority is limited to documents which are not in the custody of a court nor a vital record (Birth, Death, Marriage certificates).

Typical Verbiage: "I certify this to be a complete, full, true, and exact reproduction of the original document.

                               Certified this ____ day of ______, 20___."

Employment Eligibility Verification, Form I-9:

The employment eligibility verification letter, otherwise known as “USCIS Form I-9,” is a document that verifies the identity of an individual and proves legally that they are authorized to be employed. It will be necessary for all U.S. employers to have the form completed within three (3) days of hiring. There is no need to file this form with any local, state, or federal government, but it is required to be held as long as an individual is being paid by an employer or company. Learn more here.

Power of Attorney (POA):

Power of Attorney forms are legal documents completed by an individual (the “Principal”) to appoint someone else to act on their behalf (the “Agent” or “Attorney-in-Fact”). The Agent may be able to handle financial, medical, guardianship, or tax-related matters. If the form is durable, this means the Agent will be able to continue to act on the Principal’s behalf if they can no longer make decisions for themselves, which is common with the elderly.

Name Change Application:

Name change forms are provided by the State’s circuit courts for individuals who would like to legally change their name. These forms are used by Virginia citizens who intend to change their name for political, religious, or other personal reasons. Those intending on taking their spouse’s name after marriage or reverting to their maiden name after a divorce, are not required to complete the process through their county’s circuit court.

Witness Statement Form:

The use and the purpose of writing a declared statement can greatly vary, depending on the type of particular statement given. A witness statement, for instance, will greatly differ from a financial statement, a bank statement, and a proxy statement in purpose and in objective. Each type of statement is geared toward providing as much detail and information about a particular report, event, or an incident.

Promissory Note:

A promissory note, or “promise to pay”, is a note that details money borrowed from a lender and the repayment structure. The document holds the borrower accountable for paying back the money (plus interest, if any). There are 2 types of promissory notes, secured and unsecured. A secured note is an agreement for borrowed money with the condition that if it is not paid back to the lender then the security, which is usually an asset or property, is turned over to the lender. Therefore, an unsecured note is an agreement for borrowed money although does not have any assets or property listed as collateral if the note goes unpaid.

IOU / "I Owe You" / Debt Acknowledgement Form:

An IOU Form, otherwise known as an “I Owe You” or “Debt Acknowledgement Form” is used to record an individual’s or entity’s debt with another party. An IOU is a simple solution when two parties want to record a transaction in writing without the hassle of complicated paperwork. People who tend to use IOUs have a common ground of trust, typically business partners, friends, or family members.

Non-Disclosure Agreement:

Confidential Information held by the company can diminish in economic value if released to the public or to third party competitors. Therefore, this agreement is used to ensure that those exposed to the company’s Trade Secrets are made liable should they purposefully or accidentally disclose the information to an individual outside the organization. The below template can be used for both Unilateral and Mutual agreements.

Bill of Sale:

A bill of sale, also referred to as a “purchase and sale”, is a document that establishes the details of a transaction between two (2) parties, Buyer, and Seller. The form is usually very simple stating the financial terms of the agreement followed by the signature of the seller (buyer’s signature may not be required). The monetary funds (such as cash or certified check) should exchange hands at the time of purchase (which should also be dated in the bill of sale).

LLC Operating Agreement:

This legal document creates a member managed company, whereas the members collectively set forth the rules and regulations, among other things, and abide by them. The State of Virginia does not require that a company implements this document. It is, however, very highly recommended. With no State requirement, there are also no specifics with regard to what should be included. Therefore, it is very important that the document is well written in the event that there are any issues between members or even lawsuits against the company.
